Notice to Stockholders (the "Notice")

3 September 2020

£354,876,000 5.562 per cent. First Mortgage Debenture Stock due 2027 (the "Stock")

issued by

INTU DEBENTURE PLC (the "Company")

(incorporated with limited liability in England and Wales with registered number 05890611)

NOTICE IS HEREBY GIVEN that the Company did not make the payment of the Scheduled Interest Amount, pursuant to the conditions of the Stock, or the payment of the Scheduled Redemption Amount (together, the "Deferred Payments") which were due on 7 August 2020. The 14 day grace period for non-payment of the Deferred Payments set out in Condition 16(i) of the Stock expired on 21 August 2020. The Deferred Payments were due to be made pursuant to amendments made to the Conditions of the Stock agreed by way of an Extraordinary Resolution passed on 23 July 2020 and set out in the supplemental trust deed dated 30 July 2020 between the Company, the Charging Subsidiaries (as defined in the Trust Deed) and The Law Debenture Trust Corporation p.l.c. (the "Supplemental Trust Deed"). The Company will continue to keep holders of the Stock notified of any relevant developments in accordance with applicable law and regulation.

Capitalised terms used in this Notice and not otherwise defined shall have the meanings given to them in the Supplemental Trust Deed and the trust deed dated 5 October 2006 (as amended and supplemented from time to time, the "Trust Deed") constituting the Stock and made between the Company, the Charging Subsidiaries (as defined in the Trust Deed), and The Law Debenture Trust Corporation p.l.c., unless the context otherwise requires.
