Statement from Prime Opportunities Investment Group, LLC ("Prime Opportunities")

No intention to make an offer for IWG plc ("IWG")

Further to the announcement by Prime Opportunities on 29 May 2018, Prime Opportunities announces that it does not intend to make an offer for the entire issued and to be issued share capital of IWG pursuant to Rule 2.7 of the Code.

As a result of this announcement, Prime Opportunities and any person acting in concert with it, is bound by the restrictions contained in Rule 2.8 of the Code.

Under Note 2 on Rule 2.8 of the Code, Prime Opportunities, and any person acting in concert with it, reserves the right to set aside the restrictions in Rule 2.8 in the following circumstances: (i) with the agreement of the board of IWG; (ii) following the announcement of a firm intention to make an offer for IWG by a third party; (iii) if IWG announces a "whitewash" proposal (see Note 1 of the Notes on Dispensations from Rule 9) or a reverse takeover (as defined in the Code); and (iv) if there has been a material change of circumstances (as determined by the Panel on Takeovers and Mergers).
