The appointment reflects the fact thatGeorge Greener is now considered to be non-independent in accordance withProvision A.3.1 of the Code, having served as a Director of the Company formore than nine years. He will continue to serve on the Board as anon-independent Non-Executive Director.Kenneth Hydon was appointed a Non-Executive Director of the Company in December2003 and is a member of the Audit Committee.
