Annual Report and Accounts, Notice of AGM and Directorate Change

Senior Independent Director Appointment and Re-election of Directors

 

Monitise plc (LSE: MONI) announces that the notice of the Annual General Meeting ("AGM") and annual report and accounts for the year ended 30 June 2014 have been posted to shareholders and electronic copies are available on the Company's website (www.monitise.com) via the Investor Relations section of the site.

 

The AGM will be held on 4 November 2014 at 2.00pm GMT at the offices of FTI Consulting, North Entrance, 200 Aldersgate, Aldersgate Street, London EC1A 4HD.

 

Monitise announces today that Amanda Burton will take on the role of Senior Independent Director on the Group's Board, and also Chair the Group's Remuneration Committee. Amanda's appointments become effective following the AGM. Amanda, the Global Chief Operating Officer at Clifford Chance LLP, was appointed to the Monitise Board on 4 June 2014. She served nine years on the Board of Galliford Try plc as a Non-Executive Director, from 1 July 2005, and as Senior Independent Director and Chairman of the Remuneration Committee since 2008. Amanda was appointed to the Board of Copthorn Holdings Ltd, the ultimate holding company of Countryside Properties PLC, as a Non-Executive Director on 1 October 2014.

 

As previously announced on 2 September 2014, Monitise's current Senior Independent Director, David Dey, aged 76, retires from the Monitise Board following the AGM.

 

Monitise also announces that Sushovan Hussain has decided not to stand for re-election at the AGM. As a consequence, Sushovan will cease to be a Director of the Company with effect from 4 November 2014. Sushovan was appointed to the Monitise Board in January 2011.

 

Commenting on Sushovan's decision not to stand for re-election, Monitise Chairman Peter Ayliffe said: "I would like to thank Sushovan for his invaluable contribution to the Board and Group over the past three years. His dedication, insights and experience have helped guide us through an important period in the Monitise journey. We wish him well for the future."

 

Following the AGM, Monitise will have a 10-person Board, comprising four Executive Directors and six Non-Executive Directors.
