Matomy Media Group Ltd.Block Listing and Update on Total Voting Rights

Matomy Media Group Ltd. (the "Company"), one of the world's leading digital advertising companies, is pleased to announce that application has been made by the Company to the London Stock Exchange for a block listing of up to 1,500,000 depositary interests representing Ordinary Shares of NIS 0.01 which may be allotted and issued in due course in relation to the exercise of options pursuant to the Matomy Media Group Ltd. 2012 Equity Benefit Plan, as amended.

The shares, when issued, will rank pari passu with the existing issued shares of the Company.

The admission of the above shares is expected to be effective on 6 February 2017.

Update on Total Voting Rights

In line with the Financial Conduct Authority's Disclosure and Transparency Rules, the Company also announces that as at 31 January 2017, the Company's total issued voting share capital is 96,148,553 ordinary shares. The above figure of 96,148,553 ordinary shares with voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules or the Company's articles of association.
