Merger timing update

Xstrata plc ("Xstrata") notes today's announcement by Glencore International plc ("Glencore") that the longstop date for the merger between Glencore and Xstrata (the "Merger") has been extended to 2 May 2013 with the consent of Xstrata and the Panel.
Completion of the Merger remains conditional upon the receipt of the outstanding regulatory approval in China and completion of the Xstrata court process as further set out in the New Scheme Document in connection with the Merger published by Xstrata on 25 October 2012 and Glencore giving effect to the commitments required by the European Commission.

Notice to US holders of Xstrata Shares
The Merger involves an exchange of the securities of a UK company for the securities of a Jersey company and is subject to Jersey and UK disclosure requirements, which are different from those of the United States. The Merger is proposed to be made by means of a scheme ofarrangement under the Companies Act and otherwise in accordance with the requirements of theCode. The scheme of arrangement will relate to theshares of a UK company thatis a 'foreign private issuer' as defined under Rule 3b-4 under the US Exchange Act.
Accordingly, the proposed combination is subject to disclosure and other procedural requirements applicable in the UK to schemes of arrangement, which differ from the disclosure requirements of the US proxy and tender offer rules under the US Exchange Act.

It is expected that the New Glencore Shares will beissued in reliance upon the exemption from such registration provided by Section 3(a)(10) ofthe US Securities Act.
