In accordance with the FCA's Disclosure and Transparency Rules, Matomy Media Group Ltd. (the "Company") announces that as of 8.00 a.m. on 11 July 2014:

· the share capital of the Company consisted of 89,276,028 ordinary shares of NIS 0.01 each with voting rights ("Ordinary Shares");

· the Company did not hold any Ordinary Shares in treasury; and

· accordingly, the total number of voting rights in the Company is 89,276,028.

The total voting rights figure (89,276,028) may be used by shareholders and others with notification obligations as the denominator for the calculations by which they determine whether they are required to notify their interest in, or a change to their interest in, the Company's Ordinary Shares under the FCA's Disclosure and Transparency Rules.
