Notice of Extraordinary General Meeting

Matomy Media Group Ltd., one of the world's leading digital performance-based marketing companies, announces that it will hold an extraordinary general meeting at its registered office, 6 Hanechoshet Street, Tel Aviv, Israel 6971070, at 08:00 BST / 10:00 IDT on 7 October 2014.

Matomy is calling the extraordinary general meeting to ratify and formally elect to its Board of Directors certain Non-executive Directors who qualify as "External Directors" under the Israeli Companies Law, 5759-1999.

A hard copy of the notice of the extraordinary general meeting, together with a form of proxy or form of direction, as applicable, has been sent to shareholders and depositary interest holders of record.
