Fuller,Smith&Turner PLC19 July 2005 Fuller, Smith & Turner P.L.C. ("Fuller's" or the "Company") Long Term Investment Plan ("LTIP") Directors' and Senior Managers' interests in ordinary shares of the Company Fuller's granted awards to directors and employees under its LTIP in June 2002.These awards included both listed "A" ordinary shares of £1.00 each and unquoted"B" ordinary shares of 10p each. On 19 July 2005, the Company's RemunerationCommittee determined that in accordance with the parameters of the Plan, 50 percent of the initial awards would be vested in those employees entitled. Under the rules of the LTIP the shares allocated to directors and seniormanagers vest today, 19 July 2005. To facilitate the financing of the resultanttax liabilities, each allottee has sold in the market a proportion of the "A"ordinary shares so awarded today at 918p per "A" ordinary share. In accordancewith the terms of the LTIP, where the resultant shares have been re-depositedwith the LTIP a further matching award has been granted. The table below sets out the entitlements of the following directors (denotedwith a *) and senior managers of the Company, as a consequence of today's vest,match and sale.
