("Tricor" or the "Company")

Loan Note Conversions, Holdings in Company and Total Voting Rights

Tricor has received notice to convert £700,000 of loan notes into ordinary shares of 0.01 of one penny each in the capital of Tricor ("Ordinary Shares") (the "Conversion"). The loan notes concerned are part of the £2.55m zero coupon convertible unsecured loan notes issued by the Company, which were announced on 31 December 2010. At their new conversion price of 0.05p per Ordinary Share (as announced on 9 February 2012), the Conversion will result in the issue of 1,400,000,000 new Ordinary Shares, equivalent to approximately 21.96 per cent. of the enlarged issued share capital of the Company.

Application has been made to the London Stock Exchange plc for these 1,400,000,000 new Ordinary Shares to be admitted to trading on AIM and this is expected to occur on or around 3 April 2012.

Holdings in Company

Following the Conversion Careinvest Finance Ltd will have an interest in 1,000,000,000 Ordinary Shares, equivalent to 15.69 per cent. of the enlarged issued share capital of the Company and Leggett Enterprises Ltd will have an interest in 400,000,000 Ordinary Shares, equivalent to 6.27 per cent. of the enlarged issued share capital of the Company.

Total Voting Rights

Following this issue of 1,400,000,000 Ordinary Shares, the total number of Ordinary Shares in issue is now 6,375,350,337 with each share carrying the right to one vote. Tricor holds no Ordinary Shares in treasury. The total number of voting rights in the Company is therefore 6,375,350,337. This figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in or a change to their interest in Tricor under the Disclosure Rules and Transparency Rules of the UK Financial Services Authority.
