NOTICE IS HEREBY GIVEN by Kildare Securities Limited (the Issuer) that ICS Building Society will transfer (the Transfer) its roles as Originator, Interest Rate Swap Counterparty and Subordinated Loan Provider to The Governor and Company of the Bank of Ireland (Bank of Ireland) with effect from 1 September 2014 or such later date as agreed between ICS Building Society and Bank of Ireland. Bank of Ireland will assume all rights and obligations of ICS Building Society in its capacities as Originator, Interest Rate Swap Counterparty and Subordinated Loan Provider under the Transaction Documents to which ICS Building Society is party.

The Transfer will take effect by operation of law pursuant to the terms of a scheme for transfer under Part III of the Central Bank Act 1971 (as amended).

ICS Building Society and Bank of Ireland are both members of the Bank of Ireland Group.

Words and expressions defined in the master definitions schedule signed by the Issuer on 1 March 2007 (as amended and restated) have the same meanings when used in this Notice.
