Dwyka increases its holding in Minerva to 87.86%
Dwyka issues a further 43,200 shares to accepting Minerva shareholders
Dwyka offer remains open until 11 August 2009
Further to the announcement on 14 July 2009 that Dwyka had declared its offer for the entire issued share capital of Minerva wholly unconditional, the Company has today issued and allotted a further 43,200 ordinary fully paid Dwyka shares ('Shares') to those Minerva shareholders that had accepted Dwyka's offer in the period from 1.00 p.m. (London time) on 28 July 2009 until 1.00 p.m. (London time) on 5 August 2009. Dwyka has now received acceptances from shareholders represented 87.86% of the issued capital of Minerva Resources Plc and the offer remains open for further acceptances until 1.00 p.m. (London time) on 11 August 2009.
Application has been made to the AIM Market of the London Stock Exchange ("AIM") for 43,200 Shares to be admitted to trading on AIM ("Admission"). Admission is expected to occur at 8.00 a.m. on 12 August 2009.
The Company gives this notice pursuant to Section 708A(5)(e) of the Corporations Act.
The Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act, in reliance on Section 708A(5)(e) of the Corporations Act.
The Company, as at the date of this notice, has complied with:
(a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and (b) Section 674 of the Corporations Act.
There is no excluded information for the purposes of Sections 708A(7) and (8) of the Corporations Act.
