Medusa Mining Limited04 April 2007 MEDUSA MINING LIMITED Issue of shares Medusa Mining Limited ("Medusa" or the "Company"), the Australian based companyoperating and developing gold mines in the Philippines, announces the followingissues of Ordinary Shares of no par value each ("Shares"): Exercise of options Listed (ASX) options - 148,696 Shares issued on 28 November 2006 from options exercised on 21November 2006 and 28 November 2006. - 587,526 Shares issued on 22 December 2006 from options exercised on 11December 2006 and 20 December 2006. - 2,592,270 Shares issued on 16 January 2007 from options exercised on 15January 2007. - 2,747,673 Shares issued on 25 January 2007 from options exercised on 24January 2007. - 15,300,460 Shares issued on 6 February 2007 from options exercised on 5February 2007. In addition, 129,125 listed options with an expiry date of 31 January 2007 werenot exercised and have been cancelled. Unlisted Options - 225,000 Shares issued on 6 February 2007 from options exercised on 5 February2007. Directors' dealings The issue of shares noted above includes total shares issued pursuant to anexercise of listed options in January 2007 by directors as follows: Kevin Tomlinson - 6,250 Geoffrey Davis - 1,446,500 Roy Daniel - 89,007 In addition, Roy Daniel and Robert Weinberg were issued with 500,000 and 750,000options on 27 November 2006 pursuant to receipt of shareholder's approval at theCompany's Annual General Meeting. Vendor consideration As consideration in respect of the Philsaga acquisition, 25,000,000 Shares wereissued on 4 December 2006 and will remain in voluntary escrow for a period of 12months to 3 December 2007. Total shares in issue Application has been made for the Shares noted above to be admitted to AIM andit is expected that admission will take place on 11 April 2007. As a result of the above allotment and issue of 46,601,625 Shares, the Company'sshare capital consists of 124,537,548 Shares with 124,537,548 voting rights.
