Issue of shares and total voting rights
Energy Assets Group plc (LSE: EAS.L), the largest independent provider of industrial and commercial (I&C) gas metering services in the UK[i], today announces that it has issued 222,108 Ordinary Shares at market value as part
consideration for the acquisition of SA Gas Engineers Limited (SA Gas). These shares have been issued to RBC cees Trustee Limited, as nominee for the sellers of SA Gas.
The new Ordinary Shares represent approximately 0.8% of the Company's existing issued share capital andwill rank pari passu with the existing Ordinary Shares of the Company.
Application has been made to the UK Listing Authority and the London Stock Exchange for these shares to be admitted to the Official List (premium listing segment) and to trading on the London Stock Exchange. Admission is expected to occur around 6 March 2015.
In conformity with rule 5.6.1 of the FCA's Disclosure and Transparency Rules, as at the date of this announcement, the issued ordinary share capital of the Company now consists of 27,546,619 ordinary shares of £0.01 each. The Company holds no ordinary shares in Treasury.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Energy Assets Group plc under the FCA's Disclosure and Transparency Rules.
