Issue of new shares in respect of the Long Term Incentive Plan (LTIP)

PureCircle (LSE: PURE), the world's leading supplier and marketer of high purity stevia, issued 190,000 new ordinary shares on 10 November 2011 to satisfy the vesting and exercise of Options granted under the terms of the Company's Long Term Incentive Plan.

Of the 137,721 Options exercised, 131,043 were exercised in respect of the annual award made in November 2008. This award has now finished and in the process 177,757 outstanding conditional Options have lapsed.

The Options were exercised as follows:-

The remaining balance of 52,279 shares together with the existing balance of 73,023 Treasury shares will be held by the Company as Treasury shares, pending the exercise of further Options already granted under the LTIP. Out of this total, 70,500 shares are reserved for the pending exercise of Options held by Non-Executive Directors, all at the exercise price of GBP1.15 (US$1.84) per share.

Details of the above Options exercised by Directors under the LTIP and their resulting shareholding in PureCircle following the shares admission to AIM are shown below:

Application has been made to AIM for the new shares to be admitted for trading. Following their admission, PureCircle will have 154,566,294 ordinary shares on issue, including 125,302 held as Treasury shares.
