Issue of new ordinary shares and total voting rights

Defenx PLC (AIM:DFX), the cyber-security software group, announces that further to the appointment of MBooster Srl as strategic adviser to the Company, as announced on 3 January 2017, the second semi-annual fee of €37,500 for the period July to December 2017, will be settled by the issue of 77,936 new ordinary shares of 1.8 pence in the capital of the Company ("Ordinary Shares") at 42.7 pence each, being the average mid-market price for the last five business days.

Defenx has given MBooster notice of termination and therefore MBooster will cease to be a strateigic adviser to the Company on 8 April 2018.

Total Voting Rights

Application has been made for admission of these 77,936 new Ordinary Shares to trading on AIM ("Admission") and it is expected that Admission will take place at 8.00 a.m. on 29 January 2018. Following Admission, Defenx will have 13,030,290 Ordinary Shares in issue and admitted to trading on AIM.

The figure, therefore, of 13,030,290 Ordinary Shares may be used by Shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the share capital of Defenx under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules. Defenx holds no Ordinary Shares in treasury.
