Issue of fee shares
EnergyPathways plc (AIM: EPP), an integrated energy transition company, announces the issue of 965,883 new ordinary shares of 1 pence each at ("Fee Shares") in settlement of consultancy fees for members of the MESH project management team for Q4 2025.
Pursuant to the terms of the agreements with certain of the Company's directors and consultants, monthly fees are settled through a combination of cash payments and the periodic issue of new shares. Accordingly, the Company has issued 965,883 Fee Shares, representing a total of £46,808.80 in fees payable by the Company at a price of approximately 4.85p per Fee Share. The pricing for these shares is based on the 5-day VWAP for the last five days of trading, calculated on a monthly basis.
Admission and Total Voting Rights
Application will be made for the Fee Shares to be admitted to trading on AIM, which is expected to occur on or around 11 February 2026 ("Admission"). The Fee Shares will rank pari passu in all respects with the Company's existing ordinary shares currently traded on AIM.
Following Admission, the Company's issued share capital will comprise 225,158,176 ordinary shares of 1 pence each. This number will represent the total voting rights in the Company and may be used by shareholders as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
