Issue of Fee and Bonus Shares

Ortac Resources Ltd, the AIM listed exploration and mine development company, is pleased to announce that it has issued a total of 10,650,000 new ordinary shares of no par value to an adviser to Ortac in lieu of fees generated in the ordinary course of business ("Fee Shares") and to a former Consultant to Ortac in respect of a performance bonus ("Bonus Shares"). 

2,650,000 Fee Shares have been issued to Loeb Aron & Co at an effective price of 0.13207 pence per share per share. 8,000,000 Bonus Shares have been issued to a former Consultant in recognition of achievements in Slovakia. 

Application will be made to the London Stock Exchange for admission of the Fee and Bonus Shares to trading on AIM ('Admission'). It is expected that Admission will become effective on or around 17 February 2015. The Fee and Bonus Shares will rank pari passu with the existing ordinary shares of no par value. 

In accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, Ortac hereby announces that following this issuance it has 2,825,929,020 ordinary shares of no par value in issue, with each share carrying the right to one vote. Ortac does not hold any ordinary shares in treasury. 

Under the Financial Conduct Authority's Disclosure and Transparency Rules, the quantum of ordinary shares mentioned above should now be used by Ortac shareholders, in determining whether they are required to notify their interest in, or changes to their interests in Ortac's share capital.
