Issue of Equity under Prospectus

On 7 October 2025 the Board of Board of Molten Ventures VCT plc (the "Company") announced the issue of a prospectus (the "Prospectus"), containing an offer for subscription of up to £10 million with an overallotment facility for a further £20 million through the issue of new shares. The Company announced on 24 February 2026 that £10 million of the overallotment facility had been included in the amount of funds to being raised.

The Company is pleased to announce that on 5 April 2026, in accordance with the terms of the Prospectus, 79,124 Ordinary Shares of 5p each were allotted at 42.13p in accordance with the pricing formula based on an unaudited net asset value of 40.2p per share which has been adjusted downwards for the 1p dividend which has previously been declared and went ex-dividend on 26 March 2026. The allotment of shares will rank pari passu with existing Ordinary Shares.

The Offer will remain open until 4.00 p.m. on 30 June 2026 for the 2026/2027 tax year, or earlier if the Offer is fully subscribed. The Board of the Company reserves the right to close the Offer earlier or to extend the Offer (to no later than 6 October 2026).

The issued share capital and total voting rights of the Company is now 315,512,760 Ordinary Shares.

The above figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Molten Ventures VCT plc under the Financial Conduct Authority's (FCA) Disclosure Guidance and Transparency Rules.

Application for the Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's market for listed securities will be made at the earliest practicable opportunity. Dealings are expected to commence on or around 10 April 2026.
