Issue of Equity
SerVision (AIM: SEV), the AIM quoted developer and manufacturer of digital security systems, announces that it has issued 2,884,615 new ordinary shares of 1 pence each in the Company (the "New Ordinary Shares") at a price of 5.2 pence per ordinary share. The New Ordinary Shares have been issued to YA Global Master SPV Ltd ("YA Global"), an investment fund managed by Yorkville Advisers Global, LP ("Yorkville"), in satisfaction of £150,000 of the principal outstanding on a loan facility of up to £1 million provided to the Company by YA Global (the "Loan Agreement"). Further details on the Loan Agreement were announced by the Company on 1 September 2014.
Following the issue of the New Ordinary Shares, the outstanding principal and interest under the Loan Agreement amounts to £43,640.97. Yorkville and SerVision have agreed that the outstanding balance will be paid in full by SerVision on 15 September 2015.
Total Voting Rights
Application has been made for admission of the New Ordinary Shares to trading on AIM ("Admission") and it is anticipated that Admission will occur on 23 July 2015.
Following Admission the total enlarged issued share capital of SerVision will be 91,112,637 ordinary shares of 1p each. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
