Herencia Successfully Completes Placing

The Company is pleased to announce that it has successfully completed, subject only to admission, a placing to raise £1.2 million from the issue of 150 million new ordinary shares of 0.1p each ("Ordinary Shares") at a price of 0.8p per share (the "Placing"), through WH Ireland Limited. Application has been made for the Ordinary Shares to be admitted to trading on AIM and dealings are expected to commence on 10 July 2012. Following the Placing, the number of Ordinary Shares in issue will increase to 1,672,114,250.

The funds raised from the Placing will be used to undertake a number of important work programs including:

·; Investigate the open pit potential at Patricia, particularly around the areas of high grade silver assays announced on 26 April 2012;

·; Undertake an extensional geophysical program to test the potential of the large Patricia geophysical anomaly immediately to the south and east of the existing Patricia deposit;

·; Additional project permitting work; and

·; General working capital purposes.

Herencia confirms that Charmaine Lobo acquired 3,750,000 Ordinary Shares in the Placing. Charmaine Lobo is the wife of Michael Bohm, a director of the Company. Following the above mentioned acquisition Michael Bohm has an interest in 38,876,249 ordinary shares in the Company which represents 2.32% of the total number of issued ordinary shares of the Company.

Graeme Sloan, a director of the Company, subscribed for 2,888,905 Ordinary Shares in the Placing and accordingly now holds 2,888,905 Ordinary Shares in the Company representing 0.17% of the total number of issued Ordinary Shares of the Company.

Ralsten, a company owned and controlled by John Moore, a director of Herencia, acquired 2,407,413 Ordinary Shares in the Placing and accordingly John Moore now has an interest in 8,074,080 Ordinary Shares in the Company representing 0.48% of the total number of issued Ordinary Shares of the Company.

John Russell, a director of the Company, subscribed for 2,407,413 Ordinary Shares in the Placing and accordingly now holds 7,407,413 Ordinary Shares in the Company representing 0.44% of the total number of issued Ordinary Shares of the Company.

Finally, Nyrstar maintained their holding in the Company by subscribing for 15,150,000 Ordinary Shares and accordingly now hold 167,762,755 Ordinary Shares in the Company representing 10.03% of the total number of issued Ordinary Shares in the Company.

There are no shares held in treasury. Therefore, the total number of voting rights in the Company is 1,672,114,250. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest under the Disclosure and Transparency Rules.

Commenting on the raising, Managing Director Graeme Sloan stated "These funds will allow the Company to undertake a number of important work programs to support and potentially enhance the economics of the Patricia Project. The new work will include a review of the open pit potential at Patricia focusing on areas of shallow, high grade silver and lead assays results seen in both diamond and RC holes following the 2011 drill program. I see this work as an important step in advancing the Feasibility Study.

The funds will also allow us to complete an IP geophysical survey to quantify potential extensions to the Patricia geophysical anomaly. Of particular importance, is that if the size of the current anomaly at Patricia were to double, I believe it would still sit entirely within the project's existing mining tenements".

Mr Sloan also stated, "It was pleasing to see the support received from existing and new shareholders for our proposed work program and I look forward to commencing this work as soon as possible".
