Issue of Equity and Total Voting Rights

First Allotment

The Directors of Triple Point VCT 2011 plc (the "Company") are pleased to announce the allotment of 4,292,687 Venture Shares of 1p each at an average price of 102.385p per share on 29 March 2019 pursuant to the offer for subscription set out in a prospectus issued by the Company on 14 September 2018.

The shares allotted are to be admitted to the Official List. Admission is expected to become effective on or around 12 April 2019.

As a consequence of this allotment the issued share capital and total voting rights of the Company is now 21,068,086:

9,951,133 A Ordinary Shares

6,824,266 B Ordinary Shares

4,292,687 Venture Shares

Included in the issue of equity that took place was an allotment to Directors of the Company as follows:

Jane Owen 24,499 Venture Shares at a price of 102.041p per share

Chad Murrin 24,437 Venture Shares at a price of 102.302p per share

Timothy Clarke 24,499 Venture Shares at a price of 102.041p per share
