Issue of Equity to Former Chairman

The Company announces that application has been made for 3,636,364 ordinary shares of 0.25p each in the Company ("Ordinary Shares") to be admitted to trading on AIM and it is expected that admission will occur, and dealings in the shares will commence, on 14 February 2013. The Ordinary Shares have been issued and allotted to Justin Lewis, former Executive Chairman of the Company, in connection with his resignation from the Company and all of its subsidiaries. The resolution to issue the Ordinary Shares to Justin Lewis was passed by Beacon Hill shareholders at the General Meeting of the Company held on 9 January 2013.

Following this issue of shares, the total number of Beacon Hill shares in issue will be 1,114,470,517. Therefore the total number of voting rights in the Company will be 1,114,470,517 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
