Bond International Software PLC03 August 2007 Bond International Software plc ("Bond" or "the Company") Proposed Placing of 2,287,735 new ordinary shares in the Company at 220 pence per share to raise £5m before expenses Bond is pleased to announce that it is today intending to place 2,287,735 newordinary shares of 1 pence each in the capital of the Company (the "PlacingShares") at a price of 220 pence per Placing Share ("the Placing"). The Placingis being conducted by Oriel Securities Limited (Oriel") and is expected to raiseapproximately £5m (before expenses). The Placing Shares are equivalent toapproximately 7.5 per cent. of Bond's existing issued share capital. It is intended that the Placing Shares will be placed by Oriel withinstitutional investors at a price of 220 pence per Placing Share, representinga premium of 2.56 per cent. to Bond's closing middle market price of 214.5 penceon 2 August 2007. Bond continues to look to grow its business both organically and by acquisition.The funds raised from the Placing are intended to be used to help the Companyand its subsidiaries achieve their growth and provide them with greaterfinancial flexibility, as well as to meet institutional demand for Bond'sshares. As and when suitable growth opportunities arise, including thepossibility of further acquisitions, the Company's Board believe that Bond willnow be much better placed to negotiate and close such a transaction on the bestpossible terms to the benefit of the Company's shareholders. The Placing Shares will be issued fully paid and will rank equally in allrespects with the existing ordinary shares of Bond, including the right toreceive all future dividends and other distributions. Application will be madefor the Placing Shares to be admitted to trading on the AIM market of the LondonStock Exchange plc ("Admission").
