Loan Conversion & Equity Issue

PeerTV plc (AIM:PTV), a provider of technology solutions for the OTT (TV over the internet) market, and PCB (printed circuit board) production solutions announces that it has issued 1,386,453 Ordinary shares at a price of 1.814 pence per share to YA Global SPV Limited being a further conversion of principle of £24,963 and payment of accrued interest of £187.13 under the Convertible Note Facility announced on 10th February 2015.

Under the terms of the Convertible Loan Facility the Conversion price is 90% of the lowest Volume Weighted Average Price (VWAP) during the ten consecutive Trading Days immediately prior to the Conversion Date.

In addition the Company has issued new Ordinary Shares as follows:

a) 1,966,955 Ordinary shares at a price of 2.542 pence per share to CSS Alpha (BVI) Limited equivalent to £50,000 being part repayment of a revolving financing facility the balance on which prior to the issue of these shares is about £120,000.

b) 590,086 Ordinary shares at a price of 2.542 pence per share to Ran Zamir being part repayment of a loan advanced in 2014 to Digitek SMT Assemblies Ltd.

c) 590,086 Ordinary Shares at a price of 2.542 pence per share to Shlomo & Ruth Galanti equivalent to £15,000 being part repayment of a loan originally advanced to PeerTV Limited in 2010.

d) 590,086 Ordinary Shares at a price of 2.542 pence per share to Adv. Michael Avraham equivalent to £15,000 being part repayment of a settlement agreed with a creditor of PeerTV Limited.

Application has been made for the new shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 22nd December 2015 ("Admission").

Following Admission, the Company will have in issue 9,761,300 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company will be 9,761,300. This figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
