Issue of Equity - Replacement

Correction:

The following amendments have been made to the 'Issue of Equity' announcement released at 15.52 this afternoon.

The number of shares in issue following admission was incorrect.

Issue of Equity

PeerTV plc (AIM:PTV), a provider of technology solutions for the OTT (TV over the internet) market, and PCB (printed circuit board) production solutions announces that it has issued 1,797,500 new Ordinary Shares in part payment of loans and fees due by its subsidiaries PeerTV Limited and SM Digitek (1993) Limited at an average price of 4.14 pence per new Ordinary Share ("Loan & Fee Shares"). The amount of loans and fees being repaid is £74,417.

In addition, the Company has issued 176,984 new Ordinary Shares in respect of interest accrued on a loan to PeerTV Limited. ("Interest Shares").

Application has been made for the New Shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 17 December 2014 ("Admission").

Following Admission, the Company will have in issue 35,159,171 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company will be 35,159,171. This figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
