ISSUE OF EQUITY AS PAYMENT OF DEFERRED CONSIDERATION

GAME Digital plc ("GAME Digital", the "Company" or the "Group"), today announces it has issued and allotted 2,079,002 ordinary shares of 1p each in the capital of the Company ("New Ordinary Shares"). This is to satisfy the final instalment of the deferred consideration due to certain vendors of Multiplay (UK) Limited on the third anniversary of the acquisition, together with the final cash payment of £2.4 million.

An application has been made to the UK Listing Authority and to the London Stock Exchange for the New Ordinary Shares to be admitted to the Official List and to trading on the London Stock Exchange's main market for listed securities ("Admission"). It is expected that Admission will occur at 8.00 a.m. on 2 March 2018.

These new shares will rank pari passu with the existing Ordinary Shares.

For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules ("DTRs"), the issued ordinary share capital of the Company following Admission on 2 March 2018 will consist of 172,938,108 Ordinary Shares. This total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the DTRs.
