Issue of Equity

Sealand Capital Galaxy Limited (LSE: SCGL) announces that it has entered into a subscription agreement with Mr. Siqi Cao, an Executive Director of the Company, pursuant to which Mr. Cao has conditionally agreed to subscribe for 444,371,233 new ordinary shares of £0.0001 each in the capital of the Company (the "Subscription Shares") at a price of £0.001 per Subscription Share (the "Subscription Price"), raising gross proceeds of approximately £444,371.23 (the "Subscription").

Related Party Transaction

Mr. Siqi Cao is an Executive Director of the Company and is therefore considered a related party for the purposes of Rule 7.3 of the Disclosure Guidance and Transparency Rules. Accordingly, the Subscription constitutes a material related party.

Mr. Cao did not participate in the Board's consideration of the Subscription or vote on the relevant Board resolution.

The independent Directors of the Company, being all Directors other than Mr. Cao, consider, having exercised reasonable care, skill and diligence, that the terms of the Subscription are fair and reasonable insofar as the shareholders of the Company who are not related parties are concerned.

The Board believes that the Subscription provides the Company with additional working capital and demonstrates continued support for the Company's strategy from a senior executive director

Issue of Shares

The Subscription and the issue of the Subscription Shares are conditional on Admission. The Company already has authority to issue the Subscription Shares, which was granted at its AGM on 10 January 2025 and remains in force.

At the date of this announcement, the Company had 1,011,534,756 ordinary shares in issue. If the Subscription completes in full, the Subscription Shares would represent approximately 30.5 per cent. of the Company's enlarged issued share capital.

Admission and Total Voting Rights

Application will be made for the Subscription Shares to be admitted to trading on the main market of the London Stock Exchange plc ("Admission"). It is expected that Admission will become effective and that dealings in the Subscription Shares will commence at 8.00am on or around 16 March 2026.

Following Admission, the total issued share capital of the Company will consist of 1,455,905,989 Ordinary Shares. Therefore, the total number of voting rights in the Company is 1,455,905,989 and this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest, in the share capital of the Company.
