Issue of Equity
Constellation Healthcare Technologies, Inc., the US based healthcare services company, announces that it has today issued 2,991,808 common shares of $0.0001 each in the capital of the company (the "Consideration Shares") in relation to the acquisition of NorthStar First Health LLC ("NorthStar"), as announced on 16 September 2015. As agreed with the sellers, the Consideration Shares will be issued at 142 pence per share. The Consideration Shares will be issued to an escrow account and will be released from the escrow account to the sellers based on the fulfillment of certain revenue and EBITDA targets being met by NorthStar during the 3 year period post acquisition. If the targets are not fulfilled then the shares held in escrow will revert to the Company for cancellation.
Application has been made for the 2,991,808 common shares to be admitted to trading on AIM and it is expected that admission will become effective on 23 September 2015. Following admission, the total number of issued common shares in the Company will be 67,982,431. The Company does not hold any common shares in treasury and therefore this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
