Issue of equity
Brainspark plc (AIM: BSP), a fast growing international investment company, announces that further to the following investments:
- further investment in Bibop S.p.A. announced on 26 May 2011;
- investment in Wall s.r.l. announced on 8 April 2011;
- further investment in B'Parks & Leisure S.A. announced on 31 March 2011;
- investment in Class Finance s.r.l. announced on 17 March 2011; and
- investment in Mobnotes s.r.l. announced on 7 March 2011
and in order to satisfy, as previously announced, part of the consideration payable for these investments, application has been made for admission to trading on AIM ("Admission") of 5,185,000 new ordinary shares of 2.5p each ("Ordinary Shares"). It is anticipated that Admission will occur on 16 June 2011 at 7.00 a.m.
Total Voting Rights
Following Admission, the Company's issued share capital will comprise 18,936,853 Ordinary Shares with one voting right per share. There are no shares held in treasury. The total number of voting rights in the Company is therefore 18,936,853.
This figure of 18,936,853 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
