RWS Holdings PLC10 January 2007 RWS Holdings plc ("RWS" or "the Company") Exercise of Options RWS announces that it has issued and allotted a total of 550,000 new ordinaryshares of 5p each ("New Shares") pursuant to the exercise of options. Of these400,000 were exercised at 112.54p per share by Peter Mountford who is a Non-Executive Director of RWS Holdings Plc. Application has been made to the London Stock Exchange for the New Shares to beadmitted to AIM ("Admission"). It is expected that Admission will occur on 16January, 2007. The Company was informed by Mr Mountford on 9 January, 2007 that he has sold400,000 ordinary shares of 5p each at a price of 295 pence per share conditionalonly on their Admission. Following this sale Mr Mountford has an interest in3325 Ordinary shares of 5 pence each which represents approximately 0.008 percent of the issued ordinary share capital of RWS and he retains an interest inoptions over a further 384,553 shares. Total voting rights In conformity with the Transparency Directive's transitional provision 6, theCompany would like to notify the market that following the exercise of optionsand the admission of new shares disclosed above that : The Company's capital consists of 39,681,496 ordinary shares with voting rights.No ordinary shares are held in treasury. Therefore the total number of ordinary shares in the Company with voting rightsis 39,681,496.
