Universe Group PLC16 December 2005 Universe Group PLC Issue of new ordinary shares Universe Group PLC ("Universe" or the "Company"), the retail and informationsystems company, announces that it has issued 1,250,000 new ordinary shares of5p each (the "New Ordinary Shares") to Ray Mackie, the Company's Chairman, at aprice of 20p per New Ordinary Share, a 12.7 per cent premium to the closing midmarket price on 15 December 2005 of 17.75p. The issue of the New OrdinaryShares, to the value of £250,000, is in partial repayment of a loan from MrMackie to Universe (the "Loan") made in 2004. As disclosed in the Company's2004 report and accounts, the Loan was in the amount of £491,000 at December2004, of which £154,000 now remains outstanding. The New Ordinary Shares rank pari passu with existing ordinary shares and assuch will not qualify for the interim dividend. Mr Mackie's shareholding is now 8,417,327 ordinary shares representingapproximately 13.7 per cent. of the Company's enlarged issued share capital.
