Issue of Equity 

SANNE announces that applications have been made to the FCA and the London Stock Exchange, respectively, for 1,236,668 ordinary shares of 1 pence each in the share capital of the Company (the "Shares") to be admitted to the premium listing segment of the Official List and to trading on the Main Market. It is expected that admission of the Shares will become effective and dealings in the Shares will commence on or around 28 August 2018.

The Shares relate to the balance of initial consideration for the acquisition of Luxembourg Investment Solutions S.A. and Compliance Partners S.A. which was announced on 29 September 2017 and in February 2018.

Following admission of the Shares, the Company will have 144,790,870 ordinary shares of £0.01 each in issue of which 98,533 are held in treasury. Therefore, following Admission of the Shares the total number of voting rights in the Company will be 144,692,337 (the "Voting Rights Figure"), and this Voting Rights Figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their voting rights interest, or a change to that interest, in the Company under the FCA's Disclosure Guidance and Transparency Rules.
