Beacon Hill Resources Plc ('Beacon Hill' or 'the Company')
Issue of Equity
Beacon Hill Resources Plc, the AIM listed resource company, has today issued 6,805,723 new ordinary shares of 0.25 pence each ('Ordinary Shares') following the conversion of principal and interest due by a holder of convertible loan notes issued on 19 July 2010 ('Convertible Loan Notes'). Following this conversion, the enlarged issued share capital of the Company will comprise 640,625,519 Ordinary Shares, with Convertible Loan Notes outstanding having a nominal value of £6,699,346, convertible into up to 121,806,290 Ordinary Shares.
Following this conversion, all the outstanding Convertible Loan Notes are held by Renaissance Partners Investment Limited, via subsidiary companies or funds managed by it ('RPIL'), and RPIL has indicated to the Company that RPIL does not currently intend to convert these Convertible Loan Notes prior to automatic conversion upon maturity on 18 July 2011. RPIL, which currently owns 18.5 per cent. of the issued share capital of Company, has been the principle financial investor in the Company, and has indicated that it remains a long term, supportive investor.
The Company has made application for the new Ordinary Shares to be admitted to trading on AIM, which is expected to occur, and dealings in the shares will commence, on 18 March 2011 ('Admission'). The new Ordinary Shares will, when issued, rank pari passu in all respects with the existing issued shares of Beacon Hill, including the right to receive any dividends and other distributions declared following Admission.
