Issue of Equity
Utilitywise, a leading independent utility cost management consultancy, today announces that 96,696 ordinary shares of 0.1p each in the share capital of the Company ("Ordinary Shares") have been issued and allotted.
61,402 new Ordinary Shares have been allotted as deferred consideration payable following the completion of the Icon Communications earn out period with the balance of 35,294 new Ordinary Shares allotted pursuant to the exercise of share options by a former employee.
Application has been made for the 96,696 new Ordinary Shares to be admitted to trading on AIM ("Admission") and dealings are expected to commence on 8 May 2015. The new Ordinary Shares rank pari passu with the Company's existing Ordinary Shares.
The total number of Ordinary Shares in issue following Admission will be 76,582,349. Accordingly, the figure of 76,582,349 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
