Issue of Equity

Offer for subscription of up to £10,000,000 of D Shares of 25p each (the "Offer")

The Directors of Ventus 2 VCT plc ("the Company") announce that, in accordance with the terms of the Offer dated 19 November 2013, 1,613,328 D shares were allotted in the Company on 5 April 2014 at a price of 100 pence per share.

Following the allotment there are now 24,392,655 ordinary shares, 11,329,107 C shares and 1,613,328 D shares in issue of the Company.

Application is being made for the admission of the 1,613,328 D shares to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities, which is expected to take place on or around 17 April 2014.

The Offer will close on 30 May 2014 for the 2014/2015 tax year, or earlier if it is fully subscribed or later at the discretion of the Board.
