Issue of Equity and Total Voting Rights

ISSUE OF EQUITY AND

TOTAL VOTING RIGHTS

The Board of RAM Active Media plc ("RAM") announces that it has allotted 27,500,000 new Ordinary Shares of 1p each at a price of 1.2p per Ordinary Share for part settlement of loan capital, interest and other corporate finance fees.

Application will be made for 27,500,000 new Ordinary Shares in RAM, which, when issued will rank pari passu with the existing Ordinary Shares in issue and application will be made for such new Ordinary Shares to be admitted to trading on AIM. This is expected to be on 24 August 2012.

The Company continues to consider acquisition opportunities and is currently in preliminary discussions with several parties. These discussions may or may not lead to any transactions. If one or several of the current discussion where to result in a transaction, it is likely that an equity capital raising would be required.. Where this to be the case, it is the intention of the board to offer shareholders a right to participate in any such equity issuance. The Company will keep the market updated on any further development in these discussions.

Following the issue, the enlarged share capital of the Company will be 471,630,452 Ordinary Shares. 

The above figure of 471,630,452 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
