ISSUE OF EQUITY AND TOTAL VOTING RIGHTS

The Directors of Triple Point VCT 2011 plc (the "Company") are pleased to announce the allotment of 355,060 Venture Shares of 1p each at an average price of 95.783p per share on 31 July 2020 pursuant to the offer for subscription set out in a prospectus issued by the Company on 11 September 2019.

The shares allotted are to be admitted to the Official List. Admission is expected to become effective on or around 7 August 2020.

As a consequence of this allotment the issued share capital and total voting rights of the Company is now 29,301,406:

9,951,133 A Ordinary Shares

6,805,351 B Ordinary Shares

12,544,922 Venture Shares
