Issue of Equity and Total Voting Rights

The Company announces that the Board has approved the allotment of 201,027 new ordinary shares of 1.89 pence each in the capital of the Company (the "New Ordinary Shares") in connection with the vesting of awards granted in 2023 under the Dialight Performance Share Plan.

Application has been made for the New Ordinary Shares to be admitted to trading on the equity shares (commercial companies) category of the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's Main Market for listed securities. Admission is expected to become effective on 18 March 2026.

The New Ordinary Shares will rank pari passu in all respects with the existing ordinary shares of the Company.

Following Admission, the Company's issued share capital will comprise 40,406,483 ordinary shares of 1.89 pence each, none of which are held in treasury. Accordingly, the total number of voting rights in the Company will be 40,406,483. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the FCA's Disclosure and Transparency Rules.
