Issue of Equity and Directors' Dealings

 

Utilitywise, a leading independent utility cost management consultancy, announces that it has allotted 166,666 ordinary shares of 0.1 pence each in the capital of the Company ("Ordinary Shares") to Hub Capital Partners Limited ("Hub Capital") pursuant to the exercise of warrants over such shares (the "Warrant Shares").

 

Furthermore, on 26 November 2013, Hub Capital sold 166,666 Ordinary Shares at a price of £2.12 per Ordinary Share. On the same day, Jeremy Middleton, Non Executive Director of the Company, purchased 119,050 Ordinary Shares at a price of £2.12 per Ordinary Share.

 

Following the above exercise and subsequent sale, Hub Capital holds no Ordinary Shares. Richard Feigen, Chairman of Utilitywise, is a director and shareholder of Hub Capital; his personal shareholding remains at 66,667 Ordinary Shares, representing 0.09 per cent. of the share capital of Utilitywise, as enlarged by the Warrant Shares. Jeremy Middleton is now interested in 475,110 Ordinary Shares, representing 0.66 per cent. of the share capital of Utilitywise, as enlarged by the Warrant Shares.

 

Application has been made for the Warrant Shares to be admitted to trading on the AIM Market of the London Stock Exchange ("Admission") and it is expected that Admission will occur and dealings in the Warrant Shares will commence on 2 December 2013. The Warrant Shares will rank pari passu with the existing Ordinary Shares currently in issue.

 

Following Admission, there will be 72,444,700 Ordinary Shares in issue. There are no Ordinary Shares held in treasury and so the total number of voting rights in the Company will be 72,444,700.

 

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
