Issue of Equity

Sanne announces that applications have been made to the Financial Conduct Authority (the FCA) and the London Stock Exchange, respectively, for 664,032 Ordinary Shares (the Shares) to be admitted to the premium listing segment of the Official List and to trading on the Main Market. It is expected that admission of the shares will become effective and dealings in the Shares will commence on or around 8.00am on 8 June 2022.

The issue of equity relates to the Company's acquisition of Strait Capital Company Ltd which completed on 7 April 2021. The Shares issued form part of the earn-out component of the consideration for the acquisition, which consists of cash and Sanne shares, based on financial performance up to 31 March 2022.

Following admission of the Shares the Company will have 162,941,319 Ordinary Shares of £0.01 each in issue of which 98,533 are held in treasury. Therefore, following admission of the Shares the total number of voting rights in the Company will be 162,842,786 (the Voting Rights Figure). This Voting Rights Figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their voting rights interest, or a change to that interest, in the Company under the FCA's Disclosure Guidance and Transparency Rules.
