Issue of Equity

Red Rock Resources plc ("Red Rock" or the "Company") the mineral exploration and development company focused on advancing iron ore, uranium and manganese projects in Australia and East Africa, has issued 32,000,000 new ordinary shares of 0.1p each in the capital of the Company (the "Placing" and the "Placing Shares") at 1.0p per Placing Share, conditional on the Placing Shares being admitted to trading on AIM.
Wills and Co Stockbrokers have agreed to subscribe for 20,000,000 Placing Shares at 1.0p per Placing Share. This holding represents approximately 5.9% of the issued share capital of the Company as enlarged by the Placing.
Regency Mines plc ("Regency") has as agreed to subscribe for 12,000,000 Placing Shares at 1.0p per Placing Share. Following the placing Regency will hold 127,350,000 ordinary shares in the Company, which is approximately 37.7% of the issued share capital as enlarged by the Placing.
Following the issue of the Placing Shares the Company's total issued share capital will be 337,480,832 ordinary shares of 0.1p each. Application will be made to the London Stock Exchange for the Placing Shares to be admitted to trading on AIM. Dealings are expected to commence at 8.00 a.m. on 5 September 2008.
