("Urban&Civic" or "the Company")

 

Further to the Company's announcement dated 27 February 2015, the Board of Urban&Civic has allotted 3,509,446 new ordinary shares in Urban&Civic at 271.86 pence per share ("New Shares") in part consideration of the acquisition of Catesby Group Property plc. The New Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the existing ordinary shares. The balance of shares, being 739,107, to be issued as part of the consideration for the acquisition of Catesby Property Group plc are expected to be allotted in the one year period following the first anniversary of the acquisition.

Application has been made for the New Shares to be admitted to the standard segment of the Official List of the Financial Conduct Authority and to trading on the main market for listed securities of the London Stock Exchange ("Admission"). It is expected that Admission will become effective and unconditional dealings in the New Shares will commence at 8.00 a.m. on 18 March 2015.

Following Admission, the number of ordinary shares that the Company has in issue will be 144,006,555, with each Ordinary Share carrying the right to one vote. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules. The Company holds no shares in Treasury.
