As indicated in the circular dated 2 September 2010 when the Company adopted a new investing policy and raised £141,000, the Company anticipated it would need to raise further capital in the near future in order to provide working capital and to assist with the expansion of the business. This Placing represents completion of a round which has seen the Company raise £1,216,750 at a price of 0.75p per new ordinary share since 11 January for these purposes.
Verdes has been established as a turnaround services provider to take advantage of opportunities presented by the current economic environment in the following areas:
·; business turnaround services
·; independent business reviews
·; targeted advice on potential takeover and other business combination opportunities
The economy currently remains turbulent and the directors believe that the resumption of growth will generate increasingly attractive opportunities for Verdes to exploit.
The Board is pleased with the progress the Company has made since the General Meeting held on 27 September 2010. Verdes is sufficiently capitalised to fully resource the Company for its present requirements and thereby develop the leads and prospects generated thus far, whilst continuing to seek further business opportunities.
Application will be made for the Placing Shares to be admitted to AIM and dealings are expected to commence in the Placing Shares on Tuesday 26 January 2011.
In accordance with the Disclosure and Transparency Rules (DTR 5.6.1R) the Company hereby notifies the market that immediately following admission of the Placing Shares its issued share capital will consist of 319,249,940 Ordinary Shares. The Company does not hold any shares in treasury. Shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
