Issue of Equity and Total Voting Rights

HMV Group announces that on the 7 September 2012 it issued 3,147,710 new ordinary shares of 1p each following an exercise of Warrants. The new ordinary shares will rank pari passu with existing ordinary shares in HMV Group and application has been made for these new ordinary shares to be admitted to trading, which is expected to occur on or around the

18 September 2012.

Following the exercise of Warrants as detailed above, HMV Group's issued share capital now comprises 426,734,767 ordinary shares of 1p each. There are no ordinary shares held in Treasury. The total number of voting rights in HMV Group is therefore 426,734,767.

The above figure may be used by shareholders in HMV Group as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, HMV Group under the FSA's Disclosure and Transparency Rules.
