Verona Pharma plc (the "Company") Issue of Equity

The Company announces that, following the exercise of 7,940,000 options at 2p each and 1,000,000 options at 2.5p each, the Company has issued, in aggregate, 8,940,000 new ordinary shares of 0.1p each in the Company ("Option Shares"). Application has been made for the Option Shares to be admitted to trading on AIM and dealings are expected to commence on 11 July 2008 ("Admission").

On Admission, the Company will have 215,258,325 shares in issue.

Following the issue of the Option Shares, Craig Burton is now interested in 13,250,000 ordinary shares of 0.1p each, representing 6.16% of the issued share capital of the Company.
