Issuance of Deferred Shares in connection with Priori Acquisition
Further to the announcement on 3 July 2018, appScatter Group plc (AIM: APPS), the scalable business-to-business ('B2B') Software as a Service ('SaaS') platform that allows users to distribute and manage their apps on multiple app stores around the world, is pleased to confirm that the completion accounts and net assets statement for Priori Data GmbH ("Priori") have been finalised in connection with the Company's acquisition of 100 per cent. of the share capital of Priori completed in July 2018.
Accordingly, 357,698 new ordinary shares in the Company (the "Deferred Shares") shares will now be issued to the Priori vendors under the terms of the sale and purchase agreement.
Application will be made for the Deferred Shares, which will rank pari passu with the Company's existing ordinary shares, to be admitted to trading on AIM ("Admission"). Dealings in the Deferred Shares are expected to commence at 8.00 a.m. on 5 September 2018.
Total Voting Rights
On Admission, the Company will have 87,965,998 ordinary shares of 5 pence each in issue. No ordinary shares are held in treasury. The figure of 87,965,998 may be used by the Company's shareholders as the denominator in the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
