Charles Taylor plc ("the Company") Issue of Equity The Company announces that 107,666 Ordinary Shares of 1p each in the Company("Ordinary Shares") have been allotted in respect of the first annual earn-outpayment to the vendors of KLA Holdings Limited and its subsidiary Knowles LossAdjusters Limited, which the Company acquired on 14 May 2014. Application has been made to the UK Listing Authority and the London StockExchange for 107,666 new Ordinary Shares to be admitted to the Official Listand to trading on the Main Market. Admission of the shares is expected tooccur on 22 April 2015. Following Admission, the Company will have 65,867,839Ordinary Shares in issue with voting rights. The Company has no OrdinaryShares held in treasury, therefore the total of 65,867,839 Ordinary Shares maybe used by shareholders in the Company as the denominator for the calculationsby which they will determine if they are required to notify their interest in,or a change to their interest in, the Company under the FSA's Disclosure andTransparency Rules.
