Issue of Equity
PeerTV plc (AIM:PTV), a provider of technology solutions for the OTT (TV over the internet) market, and PCB (printed circuit board) production solutions announces that it has issued 1,980,571 Ordinary shares at a price of 6.66395 pence per share to YA Global SPV Limited being a third drawdown of £131,985 under the Standard Equity Distribution Agreement ("SEDA") announced on 30th July 2014.
The Company also announces that it has issued 750,000 Ordinary Shares in part payment of loans and amounts due by its subsidiary PeerTV Limited at an average price of 6.0 pence per Ordinary Share ("Loan Shares"). The amount of liabilities being repaid is £45,000.
The SEDA shares and the Loan Shares ("New Shares") amount to 2,730,571 Ordinary Shares in aggregate. Application has been made for the New Shares to be admitted to trading on AIM and admission is expected to occur at 8:00am on 11 December 2014 ("Admission").
Following Admission, the Company will have in issue 33,184,687 Ordinary Shares. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights in the Company will be 33,184,687. This figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
