Issue of Contingent Consideration Shares for the acquisition of Govtech
Total Voting Rights
Netcall plc (AIM:NET), a leading provider of intelligent automation and customer engagement software, today announces the issue of 335,191 new ordinary shares of 5 pence each to the vendors of Govtech Holdings Limited ("Govtech") in respect of the share element of the contingent consideration payable based on the performance of Govtech post completion of its acquisition by Netcall ("Acquisition"), as announced on 7 August 2024.
Application has been made to the London Stock Exchange for the 335,191 new Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective and trading will commence at 8.00 a.m. on 24 November 2025.
The Company advises that, following Admission, the Company's issued share capital will be 168,974,269 Ordinary Shares which includes 1,869,181 Ordinary Shares which are held in treasury. As such the Company's total number of Ordinary Shares with voting rights will be 167,105,088.
The above figure of 167,105,088 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
